If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not use our services.

RSOC-LABS provides performance-driven digital advertising solutions designed to maximize your advertising ROI. Our services include:

• RSOC (Related Search on Content): Contextually relevant ad placements within premium content environments
• Lead Generation: Qualified lead capture through optimized funnels and targeted campaigns
• Email Marketing: High-performance email campaigns with premium placements
• SMS Marketing: Compliant SMS campaigns with high engagement rates
• Push Notifications: Browser and mobile push notifications for timely offers
• Display Advertising: Premium display inventory with programmatic targeting
• High Intent Search: Keyword-targeted search placements
• Social Media Traffic: Engaged audiences with demographic targeting

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

To access certain features of our services, you may be required to register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information

• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

All advertising content submitted through our platform must comply with the following policies:

• Content must be truthful and not misleading or deceptive
• Advertisements must comply with all applicable laws and regulations
• No promotion of illegal products, services, or activities
• No content that infringes on third-party intellectual property rights
• No malware, phishing, or other malicious content
• Compliance with industry-specific regulations (healthcare, finance, etc.)

Payment terms are established in your individual service agreement with RSOC-LABS. General payment terms include:

• All fees are quoted and payable in US Dollars unless otherwise specified
• Payment is due according to the terms specified in your agreement
• Late payments may incur interest charges and service suspension
• All fees are non-refundable unless otherwise stated in writing
• You are responsible for all applicable taxes related to your use of our services

We reserve the right to modify our pricing with reasonable advance notice to active clients.

All intellectual property rights in our platform, technology, and services remain the exclusive property of RSOC-LABS. This includes our RSOC technology, algorithms, software, designs, and documentation.

You retain ownership of your advertising content and materials. By submitting content to our platform, you grant RSOC-LABS a non-exclusive, worldwide license to use, display, and distribute such content for the purpose of providing our services.

You may not copy, modify, distribute, or reverse engineer any part of our platform or technology without prior written consent.

To the maximum extent permitted by law, RSOC-LABS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or goodwill
• Service interruptions or downtime
• Third-party actions or content

Our total liability for any claim arising from these Terms shall not exceed the fees paid by you to RSOC-LABS during the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless RSOC-LABS, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of our services
• Your advertising content or materials
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Any infringement of third-party rights

Either party may terminate the service relationship at any time with written notice as specified in your service agreement.

RSOC-LABS reserves the right to immediately terminate or suspend your access to our services without prior notice if:

• You breach any provision of these Terms
• We suspect fraudulent, abusive, or illegal activity
• Required by law or regulatory authority
• We discontinue the services

Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination shall remain in effect.
